Terms and Conditions
Prices:
The prices of the materials sold under this agreement shall be in accordance with the prevailing prices at the time, as determined by Elsewedy Cement on the shipping date, without any objection from the buyer, unless otherwise agreed in writing. The buyer also acknowledges their responsibility to pay any taxes or fees due to any governmental or non-governmental authority. If payment is not made in accordance with Elsewedy Cement’s agreed credit and payment terms, or if the company has reason to believe that the buyer’s financial situation or ability to fulfill financial obligations is unsatisfactory, the company may require cash payment in advance, impose other suitable payment terms, suspend shipments, or immediately cancel the agreement. All credit sales require the completion of the company’s credit application form and are subject to the company’s standard credit terms at the time of contracting.
Warranties:
Elsewedy Cement guarantees that the quantities of materials supplied will meet all standard specifications outlined in the agreement for the type of product supplied. The company also guarantees it holds legal ownership of the product. The buyer may not compel the company to provide any other warranties, whether express or implied, including warranties of merchantability or fitness for a particular purpose.
Product Inspection, Acceptance, and Return Policy:
The buyer must inspect the materials upon delivery and notify Elsewedy Cement in writing of any product concerns within 45 days from the delivery date. If it is confirmed that the supplied product does not meet the agreement’s conditions, and after the company reviews and verifies the claim, the company’s maximum liability and the buyer’s best remedy shall be either a refund of the purchase price or, based on the buyer’s choice and material availability, the supply of replacement materials, with the company covering shipping costs. No materials may be returned without prior approval from Elsewedy Cement. Neither party shall be liable for incidental, consequential, or punitive damages incurred by the other party.
Information and Technical Support:
Any technical information or assistance provided by Elsewedy Cement or its affiliates is given at the buyer’s own risk and does not constitute a warranty or specification. The buyer acknowledges the importance of understanding all risks and safety procedures related to handling, transporting, using, and managing the materials. The buyer must provide all relevant safety information to their employees and anyone handling the materials, including their customers. The buyer assumes full responsibility for any consequences or damages resulting from failure to comply and agrees to indemnify Elsewedy Cement against any claims or lawsuits arising from such non-compliance.
Product Ownership:
Unless otherwise stated in this agreement, ownership of the materials transfers to the buyer upon loading onto the shipping vehicle, and the buyer assumes full responsibility for the product and its safe transportation without any liability on Elsewedy Cement.
Right to Cease Supply and Force Majeure:
Elsewedy Cement reserves the right to stop supplying any material if manufacturing, selling, or using it violates legal requirements. The company may also cease production and sales while fulfilling existing contracts. The company may also suspend supply in cases of force majeure, including natural events (e.g., earthquakes, volcanoes) or human events (e.g., revolutions, terrorism, political unrest).
General Provisions:
All purchase orders must be submitted in writing and are subject to written approval from Elsewedy Cement. The agreement, along with any attached or supplementary documents, binds both the buyer and the company. In credit sales, the company’s credit application form governs the credit terms. Any amendments to the agreement must be in writing and signed by both parties. Waiving any breach of the agreement does not imply consent to future breaches.
Assignment and Succession:
This agreement is binding on both parties, their successors, and assigns, provided that no party may assign or transfer the agreement without prior written consent from the other party.
Late Penalties:
The buyer is solely responsible for any late penalties imposed by their clients or other entities after receiving and inspecting the product to confirm its compliance with technical requirements.
Weight:
The weight of all materials supplied under this agreement will be determined by Elsewedy Cement’s certified scales, approved by relevant authorities, at the time of shipment.
